Legal

Terms of Service & End-User License Agreement

This Terms of Service and End-User License Agreement ("Agreement") is a legal contract between the business entity subscribing to the Service ("Licensee" or "Customer") and the software provider ("Licensor" or "Company"). It governs your access to and use of the Towing Call Management and Dispatching System hosted cloud environment and its accompanying mobile applications (collectively, the "Service").

BY PURCHASING A SUBSCRIPTION, REQUESTING ENVIRONMENT SETUP, OR ACCESSING THE SERVICE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.

1. Environment Setup and Service Access

1.1

Hosted Environment

The Service is delivered exclusively as a cloud-hosted platform. The Software is not downloadable or installable on Customer workstations. Upon initial subscription purchase, Licensor will provision, configure, and set up a dedicated cloud environment (the "Environment") for the Customer.

1.2

Mobile Companion Applications

Licensor may provide downloadable mobile applications ("Mobile Apps") solely to enable drivers and field personnel to interface with the hosted Environment. This Agreement grants a limited, non-exclusive, non-transferable, revocable license to install and use the Mobile Apps on mobile devices owned or controlled by Customer or its authorized employees, strictly in connection with the active hosted subscription.

2. Tiered Subscription and Employee-Based Pricing

2.1

Subscription Tiers

The Service is billed on a month-to-month subscription basis. Pricing is structured in tiers based on the total number of employee profiles, driver records, or user accounts entered into the system (collectively, "Employees").

2.2

Overage Fees

Each tier permits a maximum number of designated Employees. If the Customer enters more Employees into the system than permitted by their current subscription tier, the Customer will be charged an additional recurring fee per individual Employee exceeding the tier limit ("Overage Fee").

2.3

Automated Adjustments

Licensor reserves the right to audit the number of active or entered Employees within the system. Licensor may automatically adjust the Customer's monthly invoice to reflect the correct tier or apply Overage Fees based on actual system records.

3. Billing, Payment, and Automatic Renewal

3.1

Recurring Billing

The subscription automatically renews every 30 days. By subscribing, Customer authorizes Licensor to charge the payment method on file for the base subscription tier fee plus any accrued Overage Fees from the preceding billing cycle, along with applicable taxes.

3.2

Late Payment and Service Suspension

If a monthly subscription payment or overage charge fails, Licensor reserves the right to immediately suspend access to the Environment, the dispatch system, and all connected Mobile Apps without liability.

4. Data Dependency, Storage, and Accessibility

4.1

Active Subscription Requirement

Customer explicitly acknowledges that access to all data entered, generated, or collected within the system—including but not limited to call logs, dispatch history, vehicle telemetry, driver tracking, and customer records (collectively, "Customer Data")—is strictly contingent upon maintaining an active, fully-paid subscription.

4.2

Effect of Suspension or Cancellation

If the subscription is canceled or suspended for non-payment, Customer's access to Customer Data will be immediately revoked.

4.3

Data Retention Window

Following subscription termination or expiration, Licensor will retain Customer Data for a maximum period of thirty (30) days ("Retention Window") as a courtesy. During this 30-day window, Customer may request a manual export of their historical data, subject to an administrative fee and the payment of any outstanding balances. Upon expiration of the 30-day Retention Window, Licensor will permanently and irreversibly delete all Customer Data from its servers without further liability or notice.

5. Restrictions on Use

Customer shall not, and shall not permit its Employees or third parties to:

(a)

Reverse-engineer, decompile, or attempt to extract the source code of the Software or Mobile Apps.

(b)

Resell, lease, sublicense, or distribute access to the Environment to any third-party business entity.

(c)

Bypass, tamper with, or circumvent any security measures or employee count tracking mechanisms built into the platform.

6. Specific Towing & Dispatch Disclaimers

6.1

Operational Inaccuracies

The Service relies on third-party mobile networks, hardware GPS modules, and internet routing. Licensor does not guarantee uninterrupted real-time vehicle tracking, flawless mapping, or continuous mobile connectivity for drivers.

6.2

Limitation of Liability

Under no circumstances shall Licensor be held liable for any operational losses, missed towing contracts, private property impound disputes, regulatory fines, roadside delays, or commercial damages resulting from system downtime, delayed dispatch notifications, or inaccurate location tracking.

6.3

Maximum Liability Cap

In all circumstances, Licensor's maximum aggregate liability under this Agreement shall be strictly limited to the total amount paid by the Customer for the base subscription tier during the three (3) months immediately preceding the event giving rise to the claim.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Licensor operates, without regard to conflict of law rules.
